ADCP Terms of Use

 

Welcome to the [Tenant Portal] website hosted by Yardi Systems Inc. (“Yardi”) for the benefit of Abu Dhabi Commercial Property’s (“ADCP” or “we”, “our”, “us”) registered tenants (the “Website”). This document sets out some of the terms on which you may access or use the Website as well as ADCP’s liability to you (“ADCP Terms of Use”). In addition, you are required to read, acknowledge and accept both the Yardi Terms of Use as set out on the Website as well as abide by the terms of your tenancy contract in place with ADCP (“Tenancy Contract”).

Please read and review both this ADCP Terms of Use and all the other terms set out on the Website carefully before accessing or using the Website. By accessing the Website, you acknowledge that you have read, understood and accept the ADCP Terms of Use and other relevant terms and agree to be legally bound by them. If you do not fully accept all the terms including this ADCP Terms of Use, you must not access or use the Website.

ADCP reserves the right to change the Website and the ADCP Terms of Use from time to time without notice, such changes shall take effect from the next time you access the Website.

All information you post on the Website (including personal information) is at entirely your own risk and to the full extent permissible by law or as set out herein in these ADCP Terms of Use or in your Tenancy Contract, ADCP accepts no liability whatsoever.

Accessing the Website

Access to the Website is permitted on a temporary basis, and ADCP and/or Yardi reserve the right to withdraw or amend the Website without notice. ADCP will not be liable if the Website is unavailable at any time or for any period.

Yardi may provide you with account details to access the Website such as, a user identification code, password or any other piece of information as part of the security procedures in connection with accessing the Website. You shall abide by the Yardi Terms of Use in respect of such and treat such information as confidential, and you must not share it with any other person. ADCP or Yardi have the right to disable any user identification code or password, whether chosen by you or allocated to you, at any time, if in ADCP’s or Yardi’s opinion you have failed to comply with any of the provisions of either Terms of Use. You agree to notify both Yardi and ADCP immediately upon becoming aware of any unauthorised disclosure or use of your user identification code and/or password.

You are responsible for making all arrangements necessary for you to have access to the Website. You are responsible for providing a valid and live email address to access and receive updates from the Website. You are responsible for updating ADCP in respect of any change to your registered email address.

ADCP has liability or You are also responsible for ensuring that all persons who access the Website through your internet connection are aware of both Terms of Use, and that they comply with them.

You acknowledge and accept that any information that you upload or store on the Website may be transferred and hosted on Yardi servers based outside of the United Arab Emirates. ADCP accepts no liability whatsoever in respect of the foregoing and the upload of any information to the Website shall be entirely at your own risk.

Content

 

ADCP give no undertaking, warranty or representation of any kind (whether express or implied) as to the Website’s accuracy, currency, fitness for purpose or completeness.

Any of the material on the Website may be out of date at any given time, and ADCP is under no obligation to update such material.

You represent and warrant that all information provided by you to ADCP, shall be true, accurate, current and complete. You also expressly represent and warrant that you will not use the Website to post any information or promote any products or services in violation of any applicable law, statute, contract, ordinance or regulation or in violation of any third party’s rights, including any trade secret or other intellectual property rights.

Indemnification

You hereby agree to indemnify and hold harmless ADCP, its directors, officers, employees, affiliates and agents from and against any third-party claims, actions, disputes or allegations arising out of or relating to (a) any fraud (or inducement to fraud), manipulation, misrepresentation or other improper action by you (or as authorized by you on your behalf) conducted through the Website, (b) any other breach by you of these ADCP Terms of Use.

Functionality

 

ADCP do not warrant that functions available on the Website will be uninterrupted or error free, that defects will be corrected. You acknowledge that it is your responsibility to implement sufficient procedures and virus checks (including anti-virus and other security checks) to satisfy your particular requirements for the accuracy of data input and output. You confirm that you are aware of and assume all risks related to the use of the internet, including risks of damage to your software and hardware due to the presence in the Website or any other related website of a virus or any other element capable of altering the computer system.

You must not misuse the Website by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Website, the server on which the Website is stored or any server, computer or database connected to the Website. You must not attack the Website via a denial-of-service attack or a distributed denial-of service attack.

By breaching this provision, you may be committing a criminal offence under United Arab Emirates law. ADCP may report any such breach to the relevant law enforcement authorities and will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the Website will cease immediately.

ADCP will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the Website or to your downloading of any material posted on it, or on any website linked to it. You are advised to virus check all materials and/or content accessed and/or downloaded from the Website using commercially available, up to date virus checking software.

You and/or any other person accessing the Website may use the Website for lawful purposes only. You and/or any other person accessing the Website must not use the Website in any way that breaches any applicable law or regulation, or which is in any way unlawful or fraudulent.

Payments

 

If relevant, any payments made through the Website are subject to the terms of your relevant Tenancy Contract. You acknowledge that it is your sole responsibility to address any discrepancies, issues or concerns with any payments by contacting us immediately.

Liability

You agree that access to and use of the Website is at your own risk and sole discretion.

To the extent permitted by law, ADCP nor any subsidiary or affiliate of ADCP, nor any party involved in creating, producing or delivering the Website accepts any liability for any loss or damages, including without limitation, direct, incidental, consequential, indirect or punitive damages, loss of income or revenue, loss of business, loss of profits or contracts, loss of anticipated savings, loss of data, loss of goodwill, wasted management or office time, or any other loss or damage of any kind, whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable, that may arise out of access to, information downloaded or obtained from or through, use of or inability to use, this Website, or any errors or omissions in the content thereof.

To the maximum extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to the Website or its use or any content on it, whether express or implied.

Links and third party content

 

The Website may contain links to websites of third parties. ADCP is not responsible for the contents or reliability of any other websites to which the Website provides a link and ADCP does not endorse the views expressed within them. ADCP shall not be liable for any damages, direct or indirect, which users might suffer, derived from the information contained in said websites, or from the relationship that might arise between users and third parties whose services have been published on the Website. In particular, we do not accept any liability arising out of any allegation that any third party owned content (whether published on this, or any other, website) infringes the intellectual property rights of any person or any liability arising out of any information or opinion contained on such third party website or content.

Communications

 

Any communication or other material that you send to us through the internet or post on the Website by electronic mail or otherwise, will be subject to the terms of your Tenancy Contract.  

Intellectual Property Rights and Trademarks

 

The contents of the Website are protected by copyright and other intellectual property around the world. All the intellectual property rights in the Website are owned either by Yardi or ADCP or their affiliates or subsidiaries (as relevant).

Except as expressly permitted, you may not otherwise copy, display, download, distribute, modify, reproduce, republish, reverse engineer or retransmit any information, text or documents contained in the Website or any portion thereof in any electronic medium or in hard copy, or create any derivative work based on such images, text or documents, without the express written consent of ADCP.

No information or statement contained herein shall be construed as conferring by implication, estoppel, or otherwise any licence or right under any patent, copyright, trademark or other intellectual property right of ADCP or any of its affiliates, or any third party. No ADCP trademark or logo may be used or reproduced without our prior written consent. The use or misuse of these trademarks or any other materials, except as permitted herein, is expressly prohibited and may be in violation of copyright law, trademark law, the law of slander and libel, the law of privacy and publicity, and communications regulations and statutes.

Legal Jurisdiction

The courts of the emirate of Abu Dhabi have exclusive jurisdiction over any claim arising from, or related to, your visit or use of the Website. These Terms of Use are governed by, and shall be interpreted in accordance with, United Arab Emirates law.

مرحباً بك في موقع [المنصة الإلكترونية لخدمات المستأجرين] ("الموقع الإلكتروني") الذي تستضيفه شركة ياردي سيستمز ("ياردي") لصالح المستأجرين المسجلين لدى شركة أبوظبي التجاري للعقارات (يشار إليها بـ "نحن" أو "لنا"). تحدد هذه الوثيقة بعض الشروط التي يمكنك من خلالها الوصول إلى الموقع الإلكتروني أو استخدامه وكذلك مسؤولية شركة أبوظبي التجاري للعقارات تجاهك ("شروط الاستخدام"). بالإضافة إلى ذلك، يتعين عليك قراءة شروط الاستخدام الخاصة بشركة ياردي والإقرار بها وقبولها على النحو المبين في الموقع الإلكتروني وكذلك الالتزام بشروط عقد الإيجار الذي وقعت عليه مع شركة أبوظبي التجاري للعقارات ("عقد الإيجار").

يُسمح بالدخول إلى الموقع على أساس مؤقت، وتحتفظ شركة أبوظبي التجاري للعقارات و / أو شركة ياردي بالحق في سحب أو تعديل الموقع من دون إشعار مسبق. ولا تتحمل شركة أبوظبي التجاري للعقارات مسؤولية عدم توفر الموقع لأي سبب وفي أي وقت من الأوقات ولأية مدة.

قد توفر لك شركة ياردي تفاصيل الحساب للوصول إلى الموقع، مثل رمز تعريف المستخدم أو كلمة المرور أو أي معلومة أخرى ضمن إجراءات الأمان المتعلقة بالوصول إلى الموقع. ويجب عليك الالتزام بشروط الاستخدام الخاصة بشركة ياردي فيما يتعلق بهذه المعلومات والتعامل معها على أنها معلومات سرية، ويجب ألا تتشاركها مع أي شخص آخر. يحق لشركة أبوظبي التجاري للعقارات وشركة ياردي تعطيل أي رمز تعريف أو كلمة مرور خاصة بالمستخدم، سواء قمت باختيارها أو تم تخصيصها لك، في أي وقت، إذا ارتأت شركة أبوظبي التجاري للعقارات أو شركة ياردي أنك لم تلتزم بأي من أحكام وشروط الاستخدام هذه. أنت توافق على إخطار شركة أبوظبي التجاري للعقارات وشركة ياردي فور علمك بأي إفصاح أو استخدام غير مُصرّح به لرمز تعريف المستخدم و / أو كلمة المرور الخاصة بك.

أنت تتحمل مسؤولية اتخاذ جميع الترتيبات اللازمة لوصولك إلى الموقع، وتوفير عنوان بريد إلكتروني صالح ومباشر للوصول إلى أحدث الأخبار والمستجدات من خلال الموقع. كما تتحمل مسؤولية إطلاع شركة أبوظبي التجاري للعقارات بأي تغيير في عنوان بريدك الإلكتروني المسجّل.

 

تتحمل شركة أبوظبي التجاري للعقارات المسؤولية أو أنت أيضاً مسؤول عن ضمان أن جميع الأشخاص الذين يدخلون الموقع عبر الاتصال بالإنترنت الخاص بك على دراية تامة بشروط الاستخدام وامتثالهم لها.

أنت تقر وتوافق على أن أي معلومات تقوم بتحميلها أو تخزينها على الموقع يجوز نقلها واستضافتها على خوادم شركة ياردي الموجودة خارج دولة الإمارات العربية المتحدة. ولا تتحمل شركة أبوظبي التجاري للعقارات أي التزام من أي نوع فيما يتعلق بما سبق، ويكون تحميل أي معلومات على الموقع على مسؤوليتك الخاصة بالكامل.

 

 

المحتوى

لا تُقدّم شركة أبوظبي التجاري للعقارات أي تعهد أو ضمان أو إقرار من أي نوع (سواء كان صريحاً أو ضمنياً) فيما يتعلق بدقة الموقع أو تحديثه أو ملاءمته للغرض أو اكتماله.

قد تكون أي من المواد الموجودة على الموقع غير محدّثة في أي وقت، وشركة أبوظبي التجاري للعقارات ليست ملزمة بتحديث هذه المواد.

أنت تقر وتتعهد بأن جميع المعلومات التي قدمتها إلى شركة أبوظبي التجاري للعقارات صحيحة ودقيقة وحديثة وكاملة. كما تقر وتتعهد صراحةً بعدم استخدام الموقع لنشر أي معلومات أو الترويج لأي منتجات أو خدمات تخالف أي قانون أو تشريع أو عقد أو مرسوم أو لائحة معمول بها أو تخالف حقوق أي طرف ثالث، بما في ذلك أي سر تجاري أو حقوق الملكية الفكرية الأخرى.


التعويض

أنت تقر بالموافقة على تعويض شركة أبوظبي التجاري ومدرائها ومسؤوليها وموظفيها والشركات التابعة لها ووكلائها عن أي دعاوى أو إجراءات أو منازعات أو مزاعم من طرف ثالث ناشئة عن (أ) أي عملية احتيالية (أو التحريض على الاحتيال) أو التلاعب أو التحريف أو أي إجراء غير لائق من جانبك (أو نيابة عنك بتفويض منك) يتم إجراؤه عبر الموقع، (ب) أي مخالفة أخرى من جانبك لشروط الاستخدام هذه.


وظائف الموقع

لا تضمن شركة أبوظبي التجاري للعقارات عدم تقطّع الوظائف المتاحة على الموقع الإلكتروني أو خلوها من الأخطاء ولا تضمن تصحيح العيوب.

 أنت تقر بمسؤوليتك عن تنفيذ الإجراءات والفحوصات الكافية ضد الفيروسات (بما في ذلك اختبارات مكافحة الفيروسات وغيرها من فحوصات الأمان) لتلبية متطلباتك الخاصة لتحقيق الدقة في مدخلات ومخرجات البيانات. وتؤكّد أنك على علم بجميع المخاطر المتعلقة باستخدام الإنترنت وتتحملها بالكامل، بما في ذلك مخاطر تلف البرامج والأجهزة الخاصة بك بسبب وجود فيروس في الموقع أو أي موقع إلكتروني آخر ذي صلة أو وجود أي عنصر آخر قادر على تغيير نظام الحاسوب.

ينبغي عليك عدم إساءة استخدام الموقع عن طريق إدخال الفيروسات، أو أحصنة طروادة، أو الديدان، أو القنابل المنطقية أو غيرها من المواد التي تعتبر خبيثة أو ضارة تكنولوجياً. ويجب عليك عدم محاولة الحصول على دخول غير مُصرّح به إلى الموقع أو الخادم الذي يتم تخزين الموقع عليه أو أي خادم أو حاسوب أو قاعدة بيانات متصلة بالموقع. يجب عليك عدم مهاجمة الموقع عبر هجوم حجب الخدمة أو هجمات حجب الخدمة الموزعة.

إن مخالفة هذه الفقرة يعني ارتكابك لجريمة جنائية بموجب قانون دولة الإمارات العربية المتحدة. ويجوز لشركة أبوظبي التجاري للعقارات إبلاغ سلطات تطبيق القانون المعنية عن هذه المخالفة وسوف تتعاون مع هذه السلطات من خلال الإفصاح عن هويتك لها. في حالة حدوث مثل هذه المخالفة، سيتم حرمانك على الفور من حقك في استخدام هذا الموقع الإلكتروني.

لن تكون شركة أبوظبي التجاري للعقارات مسؤولة عن أي خسارة أو ضرر ناجم عن هجمات حجب الخدمة الموزعة أو الفيروسات أو غيرها من المواد الضارة تقنياً التي قد تصيب أجهزة الحاسوب أو برامج الحاسوب أو البيانات أو غيرها من المواد المملوكة للشركة بسبب استخدامك للموقع أو لتنزيل أي مواد منشورة عليه أو على أي موقع مرتبط به. يُنصح التحقق من وجود فيروسات في جميع المواد و / أو المحتوى الذي يتم الوصول إليه و / أو تنزيله من الموقع الإلكتروني باستخدام أحد برامج مكافحة الفيروسات المحدّثة والمتوفرة تجارياً.

يجوز لك و / أو لأي شخص آخر يدخل إلى الموقع استخدام الموقع للأغراض المشروعة فقط، ولا يسمح لك و / أو لأي شخص آخر يدخل إلى الموقع باستخدام الموقع بأي طريقة تنتهك أي قانون أو لائحة معمول بها، أو بطريقة غير قانونية أو احتيالية بأي شكل من الأشكال.

المدفوعات

حيثما كان ذلك مناسباً، تخضع أي مدفوعات تتم من خلال الموقع الإلكتروني لشروط عقد الإيجار ذي الصلة. وأنت تقر بأنك المسؤول الوحيد عن معالجة أي اختلافات أو مشكلات أو مخاوف بشأن أي مدفوعات عن طريق الاتصال بنا على الفور.

المسؤولية

أنت توافق على أن الوصول إلى الموقع واستخدامه يكون على مسؤوليتك الخاصة ووفقاً لتقديرك الخاص.

لا تتحمل شركة أبوظبي التجاري للعقارات، أو أي شركة فرعية أو تابعة لها أو أي طرف مشارك في إنشاء أو إنتاج أو تدشين الموقع الإلكتروني، إلى الحد الذي يسمح به القانون، أية مسؤولية عن أي خسائر أو أضرار، بما في ذلك على سبيل المثال لا الحصر، الأضرار المباشرة أو العرضية أو التبعية أو غير المباشرة أو التأديبية أو فقدان الدخل أو الإيرادات أو فقدان العمل أو فقدان الأرباح أو العقود أو فقدان المدخرات المتوقعة أو فقدان البيانات أو فقدان السمعة الطيبة أو إهدار وقت المكتب أو الإدارة أو أي خسارة أو أضرار أخرى من أي نوع، سواء كانت نتيجة للضرر (الناجم عن الإهمال) أو مخالفة العقد أو غير ذلك، حتى لو كان ضرراً متوقعاً ينشأ عن الوصول إلى المعلومات التي تم تنزيلها أو الحصول عليها من أو من خلال استخدام أو عدم القدرة على استخدام هذا الموقع أو أي أخطاء أو سهو في المحتوى.

إلى أقصى حد يسمح به القانون، نستثني جميع الأحكام أو الضمانات أو الإقرارات أو الشروط الأخرى التي قد تنطبق على الموقع أو استخدامه أو أي محتوى عليه، سواء كانت صريحة أو ضمنية.


الروابط ومحتوى الأطراف الثالثة

قد يحتوي الموقع الإلكتروني على روابط لمواقع أطراف ثالثة. ولا تتحمل شركة أبوظبي التجاري للعقارات المسؤولية عن محتويات أو مصداقية أي مواقع أخرى يوفر الموقع رابطاً لها، ولا تدعم الشركة الآراء المُصرّح بها على هذه المواقع. ولن تكون الشركة مسؤولة عن أي أضرار، مباشرة أو غير مباشرة، قد يتعرض لها المستخدمون، ناجمة عن المعلومات الواردة في المواقع المذكورة، أو عن العلاقة التي قد تنشأ بين المستخدمين والأطراف الثالثة التي تنشر خدماتها على الموقع. وعلى وجه الخصوص، نحن لا نقبل تحمّل أية مسؤولية ناجمة عن أي ادعاء بأن أي محتوى مملوك لطرف ثالث (سواء نُشر على هذا الموقع أو على أي موقع آخر) ينتهك حقوق الملكية الفكرية لأي شخص، أو أي مسؤولية ناشئة عن أي معلومات أو آراء واردة في الموقع أو المحتوى الخاص بالطرف الثالث.
 

المراسلات

أي مراسلات أو مواد أخرى ترسلها إلينا عبر الإنترنت أو تنشرها على الموقع الإلكتروني عبر البريد الإلكتروني أو عبر أي وسيلة أخرى سوف تخضع لأحكام عقد الإيجار الخاص بك.

 

حقوق الملكية الفكرية والعلامات التجارية

إن محتويات الموقع محمية بموجب حقوق النشر وحقوق الملكية الفكرية الأخرى في جميع أنحاء العالم. جميع حقوق الملكية الفكرية في الموقع مملوكة إما من قبل شركة ياردي أو شركة أبوظبي التجاري للعقارات أو فروعها أو الشركات التابعة لها (حسب الاقتضاء).

باستثناء ما هو مسموح به صراحةً، لا يجوز لك نسخ أو عرض أو تنزيل أو توزيع أو تعديل أو إعادة نسخ أو إعادة نشر أو إجراء هندسة عكسية أو إعادة إرسال أي معلومات أو نصوص أو وثائق موجودة على الموقع الإلكتروني أو أي جزء منه في أي وسيط إلكتروني أو في نسخة ورقية، أو إنشاء أي عمل مشتق يعتمد على مثل هذه الصور أو النصوص أو الوثائق، من دون موافقة كتابية صريحة من شركة أبوظبي التجاري للعقارات.

لا يجوز تفسير أي معلومات أو عبارة واردة في شروط الاستخدام هذه على أنها تمنح ضمنياً أو تبطل أي ترخيص أو حق في استخدام حق براءة الاختراع أو حق النشر أو العلامة التجارية أو حق الملكية الفكرية لشركة أبوظبي التجاري للعقارات أو أي من الشركات التابعة لها أو أي طرف ثالث. لا يجوز استخدام أو إعادة نسخ صور طبق الأصل للعلامة التجارية أو شعار شركة أبوظبي التجاري للعقارات التجارية من دون موافقة خطية مسبقة منا.

 يُحظر صراحة استخدام أو إساءة استخدام هذه العلامات التجارية أو أي مواد أخرى، باستثناء ما هو مسموح به في هذا العقد، وقد يعتبر انتهاكاً لقانون حقوق النشر وقانون العلامات التجارية وقانون التشهير والقذف، وقانون الخصوصية والدعاية ولوائح وقوانين الاتصالات.

الاختصاص القضائي

تختص محاكم إمارة أبوظبي بالسلطة القضائية الحصرية فيما يتعلق بأي دعوى تنشأ عن أو تتعلق بزيارتك أو استخدامك للموقع. تخضع شروط الاستخدام هذه لقانون دولة الإمارات العربية المتحدة ويتم تفسيرها وفقاً لها.
